Corporate Governance

CSL Limited's Board and management maintain high standards of corporate governance as part of their commitment to maximize shareholder value. This is achieved through promoting effective strategic planning, risk management, transparency and sustainability.

The Board is responsible for the oversight and strategic direction of CSL. It monitors operational and financial performance, human resources policies and practices, and approves the company's budgets and business plans. It is also responsible for overseeing CSL's risk management, financial reporting and compliance framework. The Board has a formal charter documenting its membership, operating procedures and the appointment of responsibilities between the Board and management.

The Board has delegated the day-to-day management of CSL, and the implementation of approved business plans and strategies, to the CEO and Managing Director, who in turn may further delegate to senior management.

The Global Leadership Group is responsible for the day-to-day running of CSL.

Sustainability Governance

Sustainability is governed by CSL's Executive Sustainability Committee. The Committee facilitates the development of our sustainability targets and drives awareness, integration and continuous improvement throughout the Company. The Committee reports to the CEO/ Managing Director and is further supported by the Board's committees.
